Direct Seller Agreement

Company: Growtube (operating entity), having its principal place of business in India.

Direct Seller: The individual who has registered on the Growtube platform, completed the mandatory activation payment, and been issued a unique Affiliate ID.

The relationship between Growtube and the Direct Seller is strictly that of an independent contractor. Nothing in this Agreement, or arising from the Member's activities on the platform, shall be construed to create an employment relationship, joint venture, partnership, or agency between the parties.

As an independent contractor, the Direct Seller:

• Is not entitled to employee benefits including provident fund, gratuity, ESI, or paid leave.
• Is solely responsible for payment of all personal income taxes, GST (if applicable), and any other statutory obligations arising from their Growtube earnings.
• May not represent themselves as an employee, officer, or authorised agent of Growtube in any communication, document, or public statement.
• Retains the freedom to operatetheir distribution business according to their own schedule, methods, and resources — subject to Growtube's published Policies & Procedures.

As a Direct Seller, you agree to:

• Represent Growtube products and services truthfully and accurately.
• Provide genuine receipts and documentation for all transactions upon request.
• Maintain professional conduct in all interactions with customers, prospects, and fellow Members.
• Promptly notify Growtube of any change to your personal details, bank account, or PAN information.
• Comply with the Direct Selling Guidelines, 2016 issued by the Ministry of Consumer Affairs, India, and all other applicable laws.
• Not engage in or facilitate any pyramid scheme or fraudulent money-circulation scheme.

Growtube's remuneration plan is performance-based and designed to reward genuine retail activity and team-building. The following principles govern all commission payouts:

4.1 Direct Referral Commission

A Direct Referral Commission is payable when a Member you have directly sponsored completes their ₹1,000 activation payment and their node becomes active. This commission is a reward for the successful introduction of a new paying customer — not a payment for the act of recruitment itself.

4.2 Binary Matching Income

Binary Matching Income is calculated daily by the platform and is based on the lesser-volume leg of each active Member's binary tree. It rewards balanced team development on both left and right legs. Income is subject to the daily matching cap as specified in the current Compensation Plan.

4.3 Video Level Income

Members who complete the required daily video upload tasks may earn a Video Level Income across eligible upline generations. This income is conditional on the Member maintaining an active node status and meeting the daily upload threshold set by the platform.

4.4 No Income for Recruitment Alone

Growtube strictly prohibits any representation that a Member can earn income by paying a joining fee alone. Participation in the compensation plan requires active engagement — either personal sales activity, daily content tasks, or team activation — all of which relate to genuine commercial activity.

4.5 Deductions

All commissions and bonuses are subject to TDS deductions as mandated by Indian income tax law, and to a platform administrative fee on withdrawals. The applicable deduction amounts will be displayed to the Member at the time of each withdrawal request.

In compliance with the Direct Selling Guidelines, 2016, Growtube provides a 30-calendar-day cooling-off periodcommencing from the date the Member's activation payment is confirmed.

During this period, the Member may:

• Cancel their participation in the Growtube platform by submitting a written request to grievance@growtube.in.
• Receive a refund of the activation fee proportional to unconsumed services— i.e., net of any commissions already credited to the Member's wallet, platform administrative costs, and any applicable payment gateway charges already incurred.

Refund requests submitted after the 30-day cooling-off period will not be entertained, except in cases of proven fraud or technical error attributable to Growtube.

Refunds, where approved, will be processed to the original payment source within 7–14 business days of approval.

The Member agrees to keep confidential any proprietary information, training materials, back-office data, network genealogy, or business strategies disclosed by Growtube. This obligation survives termination of this Agreement for a period of two (2) years.

Either party may terminate this Agreement at any time without cause by providing written notice. Growtube may terminate immediately and without notice in cases of:

• Material breach of this Agreement or the Terms & Conditions.
• Fraud, misrepresentation, or illegal conduct.
• Repeated or serious violation of the Code of Conduct.

On termination, the Member loses all rights to future commissions, downline access, and platform features. Commissions already credited and approved will be processed subject to KYC compliance.

This Agreement and the Growtube business opportunity are structured in compliance with:

• The Direct Selling Guidelines, 2016 (Ministry of Consumer Affairs, India).
• The Consumer Protection Act, 2019.
• The Income Tax Act, 1961.
• The Information Technology Act, 2000.

This Agreement, together with the Growtube Terms & Conditions and Income Disclaimer, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, representations, or agreements, whether oral or written.
